Terms and Conditions

1. Definitions

  • GateCloud: the trade name of the sole proprietorship Studio Fifteen, established in the Netherlands, registered at the Chamber of Commerce
  • Customer: the natural or legal person entering into an agreement with GateCloud
  • Services: the cloud-based access control services offered by GateCloud
  • Edge Bridge: the hardware supplied by GateCloud for local processing
  • Platform: the GateCloud cloud dashboard and associated software

2. Applicability

These terms and conditions apply to all offers, quotations, and agreements between GateCloud and the Customer, insofar as these terms have not been expressly and in writing deviated from by the parties. The applicability of any purchase or other conditions of the Customer is expressly rejected.

3. Agreement and duration

The agreement is concluded at the moment the Customer accepts the offer and meets the conditions set therein.

  • All subscriptions have a minimum term of 12 months
  • After the initial period, the agreement is tacitly renewed for periods of 12 months
  • Cancellation must be done in writing, observing a notice period of 30 days before the end of the current period

4. Prices and payment

All prices quoted are exclusive of VAT, unless otherwise stated.

  • With monthly billing, the subscription amount is invoiced monthly in advance
  • With annual billing, the full annual amount is invoiced in advance
  • Payment must be made within 14 days of the invoice date
  • In case of late payment, GateCloud is entitled to suspend service delivery

5. Service delivery

GateCloud will endeavor to perform the Services as well as possible, taking into account the following provisions:

  • GateCloud guarantees an uptime of 99.9% for the cloud platform (excl. scheduled maintenance)
  • The Edge Bridge also functions without an internet connection for local access control
  • Maintenance is, where possible, performed outside business hours and announced in advance
  • GateCloud reserves the right to modify or expand the Services

6. Hardware (Edge Bridge)

The Edge Bridge hardware is purchased once by the Customer and becomes the property of the Customer upon delivery. Installation is performed by a GateCloud-certified installation partner.

  • The hardware is invoiced once and is fully owned by the Customer after payment
  • Installation is performed by a certified installation partner appointed by GateCloud
  • A warranty period of 2 years after delivery applies to the hardware, provided there is a manufacturing defect or material deficiency
  • Within the warranty period, GateCloud will repair or replace defective hardware free of charge
  • Damage due to improper use, external causes, or non-certified installation is not covered by warranty
  • After the warranty period or for damage outside warranty, the Customer must purchase a new Edge Bridge

7. Liability

The liability of GateCloud is limited to the amount paid out in the relevant case under GateCloud's liability insurance, plus the amount of the deductible.

GateCloud is not liable for indirect damage, including consequential damage, lost profits, missed savings, or damage due to business stagnation. The Customer indemnifies GateCloud against all claims from third parties related to the use of the Services by the Customer.

8. Confidentiality and privacy

Both parties are obliged to maintain confidentiality of all confidential information obtained in the context of the agreement. For the processing of personal data, we refer to our privacy policy.

9. Applicable law and disputes

These terms and conditions and all agreements between GateCloud and the Customer are governed by Dutch law. Disputes will be submitted to the competent court in the district in which GateCloud is established.
